8-K alerts ping you when a material event hits EDGAR, not when CNBC recaps it.

An 8-K is how a public company tells the market that something material happened. A CEO left. Guidance got cut. A financing closed. The filing is public on EDGAR the moment the SEC accepts it. The cable recap is a rewrite of that page, later, with a ticker graphic.

If your first notice is "stocks in motion," you already lost the useful hour. The document was sitting on a public URL while you waited for someone to package it.

What belongs in the alert

Item 2.02 is earnings. Item 5.02 is an officer change. Item 1.01 is a material agreement. You do not need every exhibit stuffed into the inbox. You need the company, the item, and a short read of what actually changed.

What this will not do

It will not guarantee alpha. It will not hand you MNPI. An 8-K is a public announcement. Treat the ping as a prompt to open the filing, not as a trade ticket.

Routine 8-Ks still exist. Compensation exhibits, credit-agreement restatements, and "we furnished an earnings release" copies can drown a keyword email. Say what counts. AyeWatch is built to summarize the event, not to forward every PDF.
