A Schedule 13D is what a holder files after crossing 5% with an intent to influence. It is the public "we are here" document. The letter, the board fight, the "strategic alternatives" quote, those often follow. The filing is the first page you can actually cite.

Why 13Ds move books

A new 13D on a small name can re-rate the stock before the campaign even starts. Amendments matter too. A bump in the stake, a new plan, a switch from 13G to 13D. You want the filer, the issuer, the percent, and whether the purpose section is boilerplate or a fight.
